Terms of Use

Tunog Kalye Radio is an online platform that connects independent Filipino artists, labels, fans, and community members through music releases, merchandise sales, radio broadcasting, and related services. The Platform enables artists to upload, sell, and distribute their music and merchandise, provides radio streaming and scheduling, and offers community features including shoutouts, profiles, and discovery tools.

The Platform also provides administrative, artist, label, and fan dashboards with varying levels of access and functionality. Specific features may vary depending on your account type and role. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice.

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must not share your account credentials with any third party or allow any other person to access your account.

You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent to use the Platform. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

The Platform supports multiple user roles, each with different permissions and capabilities: Admin, Artist, Label, and Fan. Your role determines which features and areas of the Platform you can access. You may only use the features and access the areas associated with your assigned role.

Attempting to access features or areas outside your assigned role, or attempting to escalate your permissions without authorization, is a violation of these Terms. Role assignments may be changed by the Platform at any time based on activity, verification status, or other criteria. If you believe your role has been incorrectly assigned, please contact support.

Artists and labels retain ownership of all music, artwork, merchandise designs, and other content they upload to the Platform ("Content"). By uploading Content, you grant Tunog Kalye Radio a non-exclusive, worldwide license to host, display, distribute, and promote your Content through the Platform and its associated services, including radio broadcasting, social media promotion, and email marketing.

You represent and warrant that you own or have the right to upload and distribute all Content you submit to the Platform, and that such Content does not infringe on any third party's intellectual property rights. You are solely responsible for ensuring that your Content complies with all applicable laws, including copyright, trademark, and privacy laws. Tunog Kalye Radio reserves the right to remove any Content that violates these Terms or that we believe may be harmful or objectionable.

The Platform enables artists and labels to sell music, merchandise, and other products to fans and other users. All transactions on the Platform are between the buyer and the seller. Tunog Kalye Radio acts as a platform facilitator and is not a party to any transaction between buyers and sellers, except where explicitly stated.

Sellers are responsible for setting prices, fulfilling orders, and handling customer service for their products. Buyers are responsible for reviewing product descriptions, seller policies, and any applicable terms before making a purchase. Payment processing is handled through third-party payment processors (such as Stripe), and all payment information is subject to the privacy and security policies of those processors.

When you make a purchase on the Platform, payment is processed by our third-party payment processor. Tunog Kalye Radio does not store your full payment card details. Payouts to artists and labels are processed according to the payout schedule and revenue share terms specified in your seller agreement or dashboard settings.

Tunog Kalye Radio retains a platform fee from each transaction, as described in the seller agreement. The remaining revenue is distributed to the seller according to the agreed-upon schedule. Payout timelines, minimum thresholds, and processing details may vary. You are responsible for any taxes applicable to your earnings or purchases on the Platform.

The Platform, including its design, logos, graphics, text, software, and all other materials (excluding user-uploaded Content), is the property of Tunog Kalye Radio and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Platform without our express written permission.

User-uploaded Content remains the property of the respective artists and labels. However, by using the Platform, users grant Tunog Kalye Radio the limited license described in Section 5 to use their Content for Platform purposes. Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Tunog Kalye Radio without any obligation to compensate you.

When using the Platform, you must not: upload, post, or distribute any Content that is unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable; impersonate any person or entity or misrepresent your affiliation with any person or entity; violate any applicable local, provincial, national, or international law or regulation; interfere with or disrupt the Platform or servers or networks connected to the Platform; attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems; use automated tools (bots, scrapers, etc.) to access the Platform for any purpose without our express permission; or upload or distribute viruses, malware, or any other malicious code.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including removing offending Content, suspending or terminating the accounts of such violators, and reporting violations to law enforcement authorities.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy. We are committed to protecting your privacy and handling your data responsibly.

The Privacy Policy forms an integral part of these Terms. In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy shall prevail with respect to data handling and privacy matters. We encourage you to read the Privacy Policy carefully and to contact us if you have any questions about how your data is handled.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

No advice or information, whether oral or written, obtained by you from Tunog Kalye Radio or through the Platform, shall create any warranty not expressly stated in these Terms. You acknowledge and agree that your use of the Platform is at your sole risk.

To the fullest extent permitted by applicable law, Tunog Kalye Radio, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Platform; any conduct or content of any third party on the Platform; any content obtained from the Platform; or unauthorized access, use, or alteration of your transmissions or content.

Where liability cannot be excluded, it will be limited to the maximum extent permitted by law. In no event shall our total liability to you for all claims arising out of or relating to the use of, or inability to use, the Platform exceed the amount you paid to Tunog Kalye Radio in the twelve (12) months preceding the claim, or one hundred dollars ($100 CAD), whichever is greater.

You agree to defend, indemnify, and hold harmless Tunog Kalye Radio, its parent company, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, and settlements, including legal fees, arising from or related to your use of the Platform; your violation of these Terms; your violation of any applicable law or regulation; your violation of any rights of a third party, including intellectual property rights; or any Content you upload, post, or transmit through the Platform.

This indemnification obligation will survive the termination of your account and these Terms. We reserve the right to assume exclusive defense of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.

Any disputes arising out of or related to these Terms or the Platform shall be resolved through good-faith negotiation first. You agree to contact us at the support address listed on the Platform and attempt to resolve the dispute informally before pursuing any formal legal action. We will make reasonable efforts to respond to your complaint within 30 days.

If the dispute cannot be resolved informally, it shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in British Columbia, Canada. You waive any right to a jury trial in any proceeding arising out of or related to these Terms. Any claim or cause of action arising out of or related to use of the Platform or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

We may update, suspend, or discontinue any part of the Platform at any time. We may also suspend or terminate accounts that violate these Terms or create risk for the Platform, users, or partners. We will make reasonable efforts to provide notice before making significant changes to the Platform or these Terms, but we cannot guarantee advance notice in all circumstances.

Upon termination, your right to use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.
